Without limiting any obligations in any agreement Licensee has agreed to with the applicable Chainalysis entity, this product guide (“Product Guide”) sets forth additional terms that apply to Licensee’s use of the applicable Services and as such, any Order is subject to this Product Guide unless explicitly stated otherwise in the remarks section of such Order. Capitalized terms used and not defined in this Product Guide shall have the meaning given to them in the agreement for Services you have agreed to with the applicable Chainalysis entity. Chainalysis may unilaterally modify this Product Guide, so long as such modifications do not materially change Licensee’s rights or obligations within the same immediate Order term within which they initially accepted the applicable Services. Multiple terms within this Product Guide may apply to certain Services.
Risk & Compliance Solutions – Silver, Gold, and Platinum packages
Each Risk & Compliance Solutions package includes the Support tier (e.g. Silver, Gold, or Platinum) corresponding to the package tier.
Transaction Screening
If Licensee exceeds, in the aggregate, the permitted number of single screenings as it relates to Transaction Screening within a Silver package, or the permitted number of blockchain settled transactions/queries as it relates to Transaction Screening within a Gold and/or Platinum package (in each case as registered in Chainalysis records), during the designated period, as set forth in an Order (each a “Limit”), Licensee shall pay the Overage Fee set forth in the applicable Order per each screening or blockchain settled transactions/queries, as applicable, in excess of the Limit, in addition to the annual subscription fee. For the avoidance of doubt, (a) for Silver packages, each new screening of the same transaction will count towards the Limit, and (b) Licensee shall not be entitled to a refund, credit, or permitted to carry over any screens that are not utilized during the applicable period.
Address Screening or Entity Risking
If Licensee exceeds, in the aggregate, the permitted number of single screenings as it relates to Address Screening and/or Entity Risking within a Silver package, or the permitted number of unique addresses, for Address Screening and/or Entity Risking within a Gold and/or Platinum package, (in each case as registered in Chainalysis records), during the designated period, as set forth in an Order (each a “Limit”), Licensee shall pay the Overage Fee set forth in the applicable Order per each screening or unique address in excess of the Limit, in addition to the annual subscription fee. For the avoidance of doubt, (a) for Silver packages, each new screening of the same address will count towards the Limit, and (b) Licensee shall not be entitled to a refund, credit, or permitted to carry over any address screenings that are not utilized during the applicable period.
To the extent Licensee uses the Liquidity Pool and/or VASP Risking functionalities as part of Chainalysis Address Screening or Entity Risking, the number of single screenings, for Silver packages, or unique addresses, for Gold and Platinum packages, included in the Limit for Chainalysis Address Screening or Entity Risking can be used by Licensee towards Liquidity Pool and/or VASP Risking, at Licensee’s discretion. In such an event, (a) the preceding paragraph will apply to Liquidity Pool and VASP Risking, and (b) each screening of liquidity pools or VASPs, for Silver packages, or each unique liquidity pool or VASP, for Gold and Platinum packages, shall be equivalent to five thousand (5,000) screenings of addresses/unique addresses (as applicable) for the purpose of calculating the number of used/remaining screenings/unique addresses within the Limit and any Overage Fees.
To the extent Licensee is permitted, in the event Licensee integrates the Chainalysis Address Screening or Entity Risking services, it shall integrate it on the server-side such that the source code for such services are not visible to a third party.
During the applicable Order term, Licensee may request to upgrade its Limit as it relates to Transaction Screening, Address Screening, or Entity Risking services, at Chainalysis’ then-current rates for the applicable services and configuration and, upon acceptance of such request, the parties shall execute a new Order with a term duration that expires no earlier than the then-current Term.
Investigative Solutions – Silver package
The Investigation Silver package limits Licensee’s use of the Reactor Service to the creation of no more than twenty-five (25) graphs per license per year. In the event Licensee wishes to create additional graphs, Licensee shall upgrade to an Investigation Gold or an Investigation Platinum package by executing a new Order.
Investigative Solutions – Silver, Gold and Platinum packages
Each Investigative Solutions package includes the following:
All Training
As it relates to any training services, Licensee acknowledges that Chainalysis will issue one (1) credit code for each type of training purchased by Licensee under this Order (each a “Chainalysis Training Credit Code”). Each Chainalysis Training Credit Code: (a) is for the number of participants specified in this Order for the applicable type of training; (b) can be redeemed by logging into Chainalysis Academy at https://academy.chainalysis.com/ for either (i) Regional or On-Demand training sessions, at Licensee’s discretion, if in this Order Licensee purchased Regional training, or (ii) solely for On-Demand training sessions, if in this Order Licensee purchased On-Demand training. If not used, all Chainalysis Training Credit Codes issued under this Order shall expire on this Order end date. For the avoidance of doubt, Licensee shall not be permitted to carry over, or be entitled to any refund or credit in connection with, any Chainalysis Training Credit Codes that are not utilized during the term of this Order.
Training provided as part of a Chainalysis solutions package
In addition to the Training terms above, Training courses that are provided as part of a Chainalysis solution package (e.g., Investigations Solutions, etc.; each, a “Packaged Course”) are intended solely for, and shall be used solely by, (a) Licensee’s Authorized Users for the Services incorporated into the same package(s), and (b) in the event the number of participants allowed under the applicable Packaged Course exceeds the number of Licensee’s Authorized Users allowed for the Services incorporated into the same package(s), other employees or contractors of Licensee or its affiliates (as applicable) expressly designated by Licensee through written notification to Chainalysis. For the avoidance of doubt, in the event Licensee requires training in addition to or for more participants than those included in the Packaged Courses, it shall purchase additional Chainalysis courses. Upon renewal, unless otherwise expressly agreed between the parties, any Packaged Course and/or any additional course will be automatically attributed by Chainalysis to the same Authorized Users and/or other personnel who participated in the course(s) included in the immediately preceding order form for the purpose of allowing them to maintain their Chainalysis certification(s).
If Licensee exceeds the permitted number of credits, in the aggregate, for any Transpose services (as registered in Chainalysis records), during the designated period, as set forth in an Order (each a “Limit”), Licensee shall pay the Overage Fee set forth in the applicable Order per each applicable credit tranche in excess of the Limit, in addition to the annual subscription fee. For the avoidance of doubt, Licensee shall not be entitled to a refund, credit, or permitted to carry over any credits that are not utilized during the applicable period.
During the applicable Order term, Licensee may request to upgrade its Limit as it relates to the Transpose services, at Chainalysis’ then-current rates for the applicable services and configuration and, upon acceptance of such request, the parties shall execute a new Order with a term duration that expires no earlier than the then-current Term.
Licensee acknowledges that in order for it to be able to use the Chainalysis Playbook service (“Playbook”), Licensee must complete the installation and set up of the KYT API V2 endpoints in accordance with the Documentation.
If Licensee exceeds the permitted number of blockchain settled transactions/queries (as registered in Chainalysis records), in the aggregate, during the designated period, each as set forth above (the ” Limit “), Licensee shall pay the Overage Fee per each transaction/query in excess of the Limit, in addition to the annual subscription fee. During the Order term hereof, Licensee may request to upgrade its Limit at Chainalysis’ then-current rates for the applicable services and configuration and upon acceptance of such request, the parties shall execute a new Order with a term duration that expires no earlier than the then-current Term. For the avoidance of doubt, Licensee shall not be: entitled to a refund, credit, or permitted to carry over any transactions/queries that are not utilized during the applicable period. During the applicable Order term, Licensee may request to upgrade its Limit as it relates to the Investigations API service, at Chainalysis’ then-current rates for the applicable services and configuration and, upon acceptance of such request, the parties shall execute a new Order with a term duration that expires no earlier than the then-current Term.
Solely as it relates to Chainalysis Data obtained by Licensee from its use of the Chainalysis Storyline Service, Licensee may disclose such data in public forums for marketing purposes, provided that the disclosure is accurate, complies with applicable law, and is not disparaging, misleading, or framed to be interpreted as a Chainalysis endorsement of Licensee or its commercial endeavors. Without limiting any other Chainalysis rights, in the event Licensee is deemed to have violated the foregoing conditions of disclosure in Chainalysis’ sole and reasonable discretion, it may withdraw the foregoing disclosure right indefinitely by providing written notice to Licensee.
