Chainalysis Links 2024 Event Registration Terms

These LINKS Registration Terms and Conditions (“Terms”) govern your registration for, and participation in, the LINKS Event to be held from April 9th – 10th, 2024 (the “Event”). These Terms are an agreement between Chainalysis, Inc. (“Chainalysis,” “we,” “us,” or “our”) and you or the entity you represent (“you”). By completing registration on the LINKS registration page or participating in/attending the Event, you confirm that you have read, understood and agree to these Terms.

1. REGISTRATION

To register for the Event, you must complete the Event registration process no later than April 9, 2024. Event registration is subject to availability and may close earlier as we may determine in our sole discretion. You must be 18 years of age or older to register for and/or attend the Event.

2. YOUR INFORMATION

We process your contact details and personal information that we collect in connection with the registration process or your participation in or attendance of the Event in accordance with our Privacy Policy (https://www.chainalysis.com/privacy-policy/); including, without limitation to contact you with information related to Chainalysis products, services, events, and company news and the Event. In addition, we may provide your contact information to third-party partners and sponsors of the Event if (a) you elect to attend any sessions or other activities at the Event involving such third parties;or (b) you opt in during registration or otherwise to receive communications from such third parties. By participating in the Event, you agree that we may derive information from recordings of your voice and images of your face and retain and use all resulting information, in each case in accordance with these Terms and our Privacy Notice.

3. CONDUCT

By registering for and attending the Event you agree at all times to (a) conduct yourself in a manner that promotes a safe and supportive environment; (b) not engage in disruptive behavior or otherwise interfere with the Event or other participants’ enjoyment of the Event; and (c) comply with all applicable laws. You also certify that you have confirmed with an appropriate ethics official that there are no federal, state, local, or institutional ethics or procurement laws, regulations, or rules that restrict or prohibit your attendance at the Event or would otherwise create a conflict of interest for Chainalysis. If we believe, at our sole discretion, that you will not comply with the above, then we may deny you entry or require that you leave the Event and you shall not receive a refund of any fees paid, if applicable. Should you witness detrimental actions of other Event participants or have reason to believe such actions may occur, you shall promptly inform a Chainalysis staff member. Event attendees will have the opportunity to participate in live Q&A sessions throughout the Event. Chainalysis will be monitoring all comments, questions or other responses submitted during a live session and reserves the right to remove or modify any of your contributions, particularly with respect to any content Chainalysis considers to be inappropriate, profane, harassing or otherwise in violation of these Terms.

4. CONFIDENTIALITY

You agree to treat as confidential all information shared in closed-door sessions, product demonstrations and all other information disclosed at the Event to you concerning research, experimental work, development, case studies, investigations, product features, design details and specifications and engineering information as confidential information (“Confidential Information”). You shall treat all Confidential Information with the same degree of care as you accord to your own confidential information, but in no case less than reasonable care. You shall not disclose Confidential Information to any person or entity other than your organization’s officers, employees and consultants who need access to such Confidential Information for the sole purpose of discussing the use of Chainalysis products and services internally within your organization or with a representative of Chainalysis. The obligations set forth in this Section shall not apply to any Confidential Information which is: (a) rightfully in the public domain other than by a breach of this Section; (b) rightfully received from a third party without any obligation of confidentiality; (c) independently developed by you; or (e) generally made available to third parties by Chainalysis without restriction on disclosure.

5. EVENT CANCELLATION

The Event is subject to change and Chainalysis may cancel the Event and may deny, limit or cancel a registration for the Event (including confirmed registrations) at any time, at its sole discretion. Chainalysis disclaims any and all liability for any damages, direct or indirect, resulting from such cancellation.

6. RECORDING AND YOUR MATERIALS

In consideration of the opportunity to participate in the Event, you hereby grant Chainalysis, its affiliates, agents, employees, independent contractors and assigns an irrevocable, perpetual, worldwide, nonexclusive, royalty-free right and license to edit, publish, reproduce, distribute or translate, for any purpose, all or any part of (a) any and all photographs, audio and video recordings of you and/or your voice or likeness in connection with the Event, including the right to use your name, likeness and biographical information, and (b) all materials submitted or presented by you in connection with the Event (collectively, “Materials”). You represent and warrant that (a) your Materials are true and accurate to the best of your knowledge, (b) you have the necessary rights and permissions to grant the license in this Section 6, and (c) your Materials do not violate or infringe any copyright, trademark, or other proprietary rights of any person or entity. You hereby consent to Chainalysis’s use of the Materials without compensation or additional consents from you (unless required by law). Additionally, Chainalysis may restrict you from taking any photographs, audio and video recordings while attending the Event.

7. RELEASE OF CLAIMS

You (for yourself and anyone who may make a claim on your behalf) hereby release Chainalysis and its affiliates, and their respective directors, representatives, agents, officers, employees, contractors, successors and assigns, from any and all claims, demands, causes of action, losses, suits, damages, debts, liabilities, costs and expenses (including reasonable attorneys’ fees and costs) (together, “Losses”) that you may have now or in the future associated in any way with the Event or Materials. If a hosting platform for the Event is utilized, you agree that Chainalysis is not liable for any interruptions, delays, errors, inaccuracies or other technical or security issues associated with the hosting platform of the Event and you release Chainalysis from any Losses arising out of or in connection with the same.

8. ASSUMPTION OF RISK

You acknowledge that your attendance and participation in the Event is on a voluntary basis. You hereby assume all risks, known and unknown, associated with attending and participating in the Event to the fullest extent permitted under law.

9. LIMITATION OF LIABILITY

IN NO EVENT WILL (a) CHAINALYSIS BE LIABLE FOR ANY LOSS OF DATA, LOSS OF PROFITS, OR OTHER SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, INDIRECT, PUNITIVE, OR RELIANCE DAMAGES OR (b) THE LIABILITY OF CHAINALYSIS FOR DIRECT DAMAGES UNDER THESE TERMS EXCEED USD $200.

10. INDEMNIFICATION

You shall defend, indemnify and hold harmless Chainalysis, its affiliates, and their respective directors, representatives, agents, officers, employees, contractors, successors and assigns, from and against any Losses arising out of or related to your attendance, participation or conduct at the Event.

11. SANCTIONS

You represent and warrant that you are not subject to sanctions or otherwise designated on any list of prohibited, restricted, or excluded parties or owned or controlled by such a party, including but not limited to the lists maintained by the United Nations Security Council, the US Government, the European Union or its member states, or other government authority.

12. CHOICE OF LAW AND VENUE

These Terms will be interpreted, construed and enforced in all respects in accordance with the laws of the State of New York, without reference to its choice of law principles. Any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in New York County, New York, USA, and you expressly consent to personal jurisdiction and venue in those courts.

12. AMENDMENT OF TERMS

For the avoidance of doubt, these Terms supersede any previous terms in connection with the Event. Chainalysis may modify these Terms at any time by providing notice to you or by posting a revised version on the LINKS registration website. By participating in the Event, you agree to the most current version of these Terms posted on that website.
