Chainalysis Acceptable Use Policy

Without limiting any other obligations in any agreement you or Licensee have agreed to with the party that is directly providing you with access to the Services (either Chainalysis or a third-party, in either case, the “Provider”) (the “Agreement”), this Acceptable Use Policy (“AUP”) governs your use and access to the services, products, and/or data provided by Chainalysis Inc. and/or its affiliates (collectively, “Chainalysis”; “Services”). By using the Services and/or any products, services, and/or platform that incorporates or otherwise provides access to the Services (the “Primary Services”), you agree to be bound by this AUP. If you are an individual who is using the Services on behalf of a Licensee, you represent and warrant that you have full authority to bind the Licensee to this AUP. If you do not agree to ,or cannot comply with this AUP, or if you do not have the authority to bind the Licensee, then you should not use the Services. Under this AUP, “Licensee” means the entity on whose behalf you are accessing the Services.

In the event of any conflict between this AUP and any other agreement in connection with your use of the Services and/or any Primary Services, this AUP shall control.

  1. Use and Access. You may only use the Services for the sole purpose of analyzing digital asset transactions for internal business purposes (the “Purpose”). You may not share your account login credentials, or API access information with any other person and you are required to follow reasonable data security practices to protect your account from unauthorized access. You are responsible for any activity initiated by your account.
  2. General Restrictions. You shall not directly or indirectly: (i) use the Services in connection with any illegal or unauthorized purpose or in any manner that damages or interferes with the Services’ operation; (ii) remove any copyright, trademark or other proprietary rights notices contained in the Services or any reports or outputs thereof; (iii) sublicense, sell, lease (including on a service bureau basis), share, distribute, or transfer the Services or make it available to anyone other than Licensee (except as otherwise explicitly permitted in an agreement authoized by Chainalysis); (iv) export Chainalysis Data in bulk, or extract or otherwise use data from the Services except as made available as part of the Services’ or the Primary Services’ normal functions; (v) modify, create derivative works of, reverse engineer, reverse compile, decompile or disassemble the Services, or any elements thereof (except to the extent such restriction is prohibited by applicable law); (vi) use or access the Services for competitive or benchmarking purposes; (vii) circumvent any security measures or use restrictions in the Services; (viii) post, make public in any manner, or disclose to any third party, any aspect of the Services, including photographs or screenshots thereof or Application Programming Interface (“API”) keys; (ix) use the Services to create a product or service with features that are substantially similar to, or that re-create, the features of any Chainalysis product or service, including the Services; (x) use any test environment other than to test the functionality of the Services; (xi) use the Services in violation of any applicable laws and regulations;  (xii) use the Services in a manner that conflicts with any other agreement to which You are bound; or (xiii) attempt to do any of the foregoing.
  3. Service Restrictions. Without limiting any other restrictions in this Agreement, as it relates to your use of any APIs, to the extent applicable, you shall not, either directly or indirectly: (i) integrate Licensee’s application or system with the Services through APIs other than the documented APIs expressly made available and permitted by Chainalysis for such use, (ii) use any robot, spider, or automated process to scrape, crawl, index, copy, or extract any aspect of the Services, (iii) cache any data from the Services, (iv) interfere with or disrupt the APIs or the servers or network providing the APIs, (v) perform any action which has the effect of or with the intent of introducing to the Services any viruses, worms defects, Trojan Horses, malware, or any items of destructive nature, (vi) misrepresent or conceal its identity when using or requesting authorization to use the API, or (vii) take any action that may impose, as determined in our reasonable discretion, an unreasonable or disproportionately large load on Chainalysis infrastructure, as determined by Chainalysis. Chainalysis may, without notice, limit the number of requests Licensee may make to the API gateway of any API to protect the Chainalysis system or enforce reasonable limits on Licensee’s use of an API and accordingly, specific throttling limits may be imposed and modified from time to time by Chainalysis.
  4. Regulatory. Notwithstanding anything to the contrary in this Agreement, you shall not use the Services in connection with, or for the benefit of, or otherwise permit access to the Services by, any country, government, organization, entity, or person that is restricted by the HM Treasury Sanctions List, EU Consolidated List of Sanctions, United Nations Sanctions List, or any U.S. Treasury Department’s Office of Foreign Asset Control.
  5. Intellectual Property. You agree that no intellectual property ownership rights are transferred to you in connection with your use of the Services. To the extent the Provider is Chainalysis, notwithstanding anything to the contrary herein or in any Agreement, you acknowledge and agree that Chainalysis is not at any point required to delete, return, or cease using, any data (including data that was provided to Chainalysis prior to this AUP) that is permitted by the Agreement to be used by Chainalysis to improve, enhance, develop, and/or offer services or products.
  6. Privacy
    1. You may only submit personal information (aka personally identifiable information or personal data) to the Services in furtherance of the Purpose. To the extent you submit personal information to the Services, whether about yourself or otherwise, you must limit such information to the minimum necessary to accomplish the Purpose or as otherwise permitted by Chainalysis. In the case of Community Tab, do not post any content that, by itself or in combination with other information, identifies or may be used to identify an individual person, and be sure to check for any additional posting guidelines from Chainalysis. Notwithstanding the foregoing, you represent and warrant that you have the right to submit any personal information to the Services and you are responsible for the accuracy, quality, and legality of such information.
    2. You may not submit the following sensitive data to the Services: payment cardholder data, credit or debit card numbers, government issued identification numbers, bank account numbers, health-related information.
    3. When dealing with Chainalysis personnel, you promise to provide us with complete and accurate information about yourself and your organization, as requested, to facilitate performance of Chainalysis’ obligations under the Agreement (for example, customer support).
  7. Non-Party to the Agreement. To the extent the Provider is not Chainalysis, you agree that you shall not bring any claim, dispute, or action arising out of, or in connection with, the AUP and/or the Services against Chainalysis.
  8. Violation. If you violate this AUP, Chainalysis may suspend, block, or limit your access to the Services; if Chainalysis reasonably determines that you may be using the Services in connection with restricted or illicit activities, or your use of the Services could cause a risk of legal non-compliance, harm or loss to Chainalysis or its customers, Chainalysis may terminate the Services notwithstanding any cure period, or suspend, block, or limit your access to the Services.
